Terms of Service
These Terms of Service (“Terms”) govern use of the NudgiFi mobile application, the website at https://nudgifi.com and related services supplied by NudgiFi Technologies Limited, trading as NudgiFi (“we”, “us”, “our”), a company registered in England and Wales under company number 16620072 with its registered office at 199 St. Saviours Road, Birmingham, West Midlands, B8 1HW, United Kingdom. Contact: [email protected].
Please read these Terms before using the service. By creating an account or using the service, where that constitutes valid acceptance under applicable law, you agree to them. If you do not agree, do not use the service. Nothing in these Terms removes a right or remedy that the law applicable to you does not allow to be excluded.
1. What NudgiFi provides
NudgiFi offers tools for personal goals, tasks, reminders, on-device AI assistance, voice and conversation features, contextual insights and supported device integrations. It generates suggestions from information you provide and features you enable. Availability differs across platforms, devices, languages, operating-system versions and releases; a description of a feature does not guarantee its availability on every device. Features labelled beta or experimental may change or be withdrawn.
NudgiFi is a personal productivity and general-wellbeing tool. It is not a medical device, healthcare provider, therapist, emergency service, legal adviser or financial adviser. It does not provide clinical diagnosis, treatment, prescription or a guarantee of any outcome.
2. Eligibility
You must be at least 16 years old and have legal capacity to enter these Terms under the law applicable to you. We do not offer the service to anyone under 16. A platform’s age rating does not authorise use by a child.
You may use the service only where it is lawful and available. You must comply with applicable export controls, sanctions and other restrictions. We may limit availability where necessary to comply with law or where we cannot responsibly support the service.
3. Your account
Provide accurate account information and keep it current. Keep your credentials and verification codes private. Do not share an account in a way that exposes another person’s private information or lets someone impersonate you. Tell us promptly at [email protected] if you suspect unauthorised access.
You are responsible for activity you authorise and for reasonable protection of your account and device. You are not responsible for activity to the extent applicable law places responsibility on us, including where a failure of our own security obligations causes the loss. Google and Apple sign-in are also subject to those providers’ terms.
4. Licence to use the service
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable licence to use the app on devices you own or control for its intended purpose. We and our licensors retain all rights in the software, models, branding and other service materials. You may not copy, resell, sublicense or commercially exploit the service except with our permission or as applicable law permits. Open-source and third-party model components are governed by their own licences, listed at https://nudgifi.com/licences; where a model licence imposes use restrictions (for example the Gemma Terms of Use), you agree to comply with them.
5. AI outputs and wellbeing limitations
AI-generated answers, transcripts, summaries, speaker identifications, image descriptions, mood estimates and learned memories can be inaccurate or incomplete. Confidence values are internal estimates, not guarantees of truth, identity, health status or future behaviour. Verify important outputs before relying on them and correct or remove inaccurate saved information using the available controls.
Do not rely on NudgiFi for medical or mental-health diagnosis, treatment decisions, medication changes, emergency detection or crisis response. Consult an appropriately qualified professional about health concerns. If you or someone else may be in immediate danger, contact local emergency services or a crisis service directly. NudgiFi does not monitor your entries and a concerning entry will not trigger help.
Suggestions support your own decisions. They must not be used to make employment, education, housing, credit, insurance, policing or similarly significant decisions about any person. The app does not create a professional relationship or a duty to provide emergency assistance. These limits do not exclude any duty the law imposes on us.
6. Recordings, images, emotion recognition and other people
6.1 Lawful use. Use voice recording, camera, face recognition, social memory and connected glasses only where you are legally entitled to. Obtain any notices, permissions and consents required from people captured, and respect private places and situations where recording is prohibited. Permission you grant on your device is not consent on behalf of anyone else.
6.2 Prohibited uses. Do not use NudgiFi for covert surveillance, stalking, harassment, unlawful profiling, or unauthorised monitoring of a child, worker, partner or other person. Do not enrol someone else’s voice or face as your identity. Voice-ID and face or speaker matching can make mistakes and must not be used as a security or identity-verification system.
6.3 Emotion recognition — workplace and education. The Mood snapshots feature and any other mood or emotion estimate are provided for your own personal use only. You must not use, deploy or require the use of these features to infer the emotions of employees, workers, job applicants, students or pupils, or otherwise in a workplace or educational setting. Such use is prohibited in the European Union under Article 5(1)(f) of the AI Act and is prohibited under these Terms everywhere. Any organisation that provides NudgiFi to its staff or students must keep these features disabled. We may disable the features for an account or organisation that breaches this clause.
6.4 Other people’s information. If you import or record another person’s information you must have a lawful basis and honour their rights. We remain responsible for our own legal obligations; these Terms do not transfer them to you. Stop or disable a feature if you cannot use it lawfully.
7. Your content and service processing
As between you and NudgiFi, you retain all rights in your tasks, notes, recordings, images, messages and other content. You give us only the permission reasonably necessary to process information through the service functions you request, subject to our Privacy Policy. This does not give us any right to sell your content, use it in advertising, or use it to train a shared AI model. Outputs the app generates from your own data are yours to use.
Most of your content is processed on your device and is not received by our servers. If you send content to support or share it through another feature, the corresponding recipient and purpose apply. AI output may resemble output given to others; we do not promise that it is unique, accurate, copyrightable or free of third-party rights. Check that any use or sharing of output is lawful.
You must not submit material you have no right to use, impersonate others, infringe intellectual-property or privacy rights, distribute malware, unlawfully discriminate or facilitate harm. Report a concern or intellectual-property complaint to [email protected], identifying the content, the rights concerned and how to contact you. We assess reports and take appropriate action.
8. Acceptable use
Do not compromise security, bypass access controls, interfere with another user’s data, overload the service, fraudulently obtain benefits, or reverse-engineer or extract the service or its models except to the extent the law expressly permits. Do not remove legally required notices or use automation to access the service beyond an interface and permission we provide. Good-faith security reports are welcome at [email protected].
9. Device permissions and safe use
You choose whether to grant microphone, camera, location, motion, notifications, calendar, app-usage, Health, Bluetooth or special Android access. A refused or withdrawn permission limits the related function. Background features depend on device settings, battery restrictions and operating-system rules. Overlay permission does not guarantee a nudge can appear over every app.
Do not interact with the app in a way that distracts you while driving, cycling, operating machinery or carrying out any safety-sensitive activity. Use accessories responsibly. You are responsible for your internet connection, data charges, device, storage and ordinary device security. Model downloads and on-device AI can use substantial storage, battery, memory and processing capacity.
10. Local storage, backups and deletion
Local-first processing means some information exists only on a particular installation. An account login does not guarantee that recordings, tasks, photos, chats or memories will reappear on another device or after reinstalling. Use the backup or export functions you need, check that a backup completed, and protect the recovery key. We cannot recover missing local files or decrypt a backup without the key.
Exports and backups may contain sensitive information, including recorded conversations and biometric templates. Store and share them carefully. Deleting an account, revoking a permission or removing the app does not delete separate copies you created, calendar entries synced elsewhere or content you shared with someone. The Privacy Policy explains account and local-data deletion. Failing to keep a backup does not remove any remedy you have for a breach of our legal obligations.
11. Third-party services and accessories
App stores, sign-in providers, device services, calendars, backup destinations and accessories are governed by their own terms and privacy practices; you may need a separate account or permission. We do not control their availability or changes. We remain responsible for the duties the law places on us and for the services we supply.
Links to external resources do not imply endorsement. Review a recipient’s terms before exporting or sharing personal content. We will explain any material new third-party data use and obtain consent where the law requires it.
12. Fees, subscriptions and purchases
These provisions apply only if a paid feature or subscription is actually offered and clearly disclosed to you before purchase. No fee arises merely from this clause or from a feature being described as premium.
Before you buy, the purchase screen will state the price, currency, tax treatment, included features, billing period, trial conditions and renewal terms. Purchases through an app store are handled by that store and its payment provider; we do not receive your full payment-card details. Any direct website purchase will identify the seller, payment provider and checkout terms.
If you expressly agree to an automatically renewing subscription, it renews as described at checkout unless cancelled through the relevant subscription-management channel before the renewal deadline. Deleting your account or uninstalling the app does not by itself cancel a store subscription. Trials convert to paid access only on the terms disclosed and accepted at sign-up. We notify you of, and where required obtain your consent to, price or renewal changes.
Consumer cancellation rights. If you are a consumer in the UK or EU you normally have a 14-day right to cancel a distance purchase of digital content or services. Where you ask us to start supply within those 14 days you may be asked to acknowledge that the right is lost once supply has started (digital content) or that you will pay for what was supplied (services); we will ask for that acknowledgement separately where the law requires it. Refunds for store purchases follow the store’s process alongside your statutory rights. Nothing here excludes a statutory refund, cooling-off right or remedy for faulty or misdescribed digital content or services, including under the UK Consumer Rights Act 2015 and the Italian Consumer Code.
13. Changes and availability
We may update the app, models and features to maintain security, correct issues, meet legal requirements or improve the service. Updates may affect compatibility or require additional storage. We do not promise continuous availability, uninterrupted background operation or permanent availability of any experimental feature.
Where a change materially reduces a paid service or the law requires notice, we provide the required notice and any cancellation, refund or other remedy that applies. We do not use this clause to avoid a commitment already made to you or a mandatory consumer protection. We may interrupt access where reasonably necessary for maintenance, security or an emergency.
14. Suspension and ending use
You can stop using the service at any time and delete your account in the app or at https://nudgifi.com/delete-account. Manage any active subscription separately through the payment channel. Provisions intended to survive — payment obligations, intellectual-property provisions, liability rules and dispute provisions — continue to the extent lawful and necessary.
We may restrict or suspend access where reasonably necessary because of a material breach, unlawful activity, a serious security risk or a legal requirement. We give an explanation and a reasonable opportunity to address the issue where appropriate and permitted; immediate action may be necessary to prevent harm or comply with law. You can challenge an account action at [email protected]. If we discontinue a paid service, applicable notice, access and refund rights remain available.
15. Warranties and responsibility
We provide the service with reasonable care and skill and in accordance with the commitments and obligations that apply to us. Except for express commitments and rights that cannot lawfully be excluded, the service and AI outputs are supplied on an as-available basis. We do not warrant that every output is correct, every device is compatible, or the service will meet every individual need.
To the extent the law permits, we are not responsible for losses caused by unlawful use, use contrary to clear safety instructions, changes made without our authorisation, or events outside our reasonable control. Liability is determined by applicable law, including rules on causation, foreseeability and mitigation.
We do not exclude or limit our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. Nothing in these Terms excludes statutory guarantees, reasonable-care duties, privacy or data-protection remedies, or rights relating to faulty, unsafe or misdescribed digital content or services. If a term conflicts with a mandatory protection in your country, that protection prevails. These Terms contain no mandatory arbitration clause, no class-action waiver and no waiver of your right to contact a regulator.
16. Complaints, disputes and governing law
Send complaints to [email protected] with enough information to identify the issue; do not include unnecessary recordings, health details or credentials. We acknowledge within 5 working days and aim to resolve within 30 days. This informal process is not a condition of exercising a statutory right, seeking urgent relief, using an applicable alternative dispute-resolution service or bringing a claim.
These Terms and any dispute arising from them are governed by the laws of England and Wales, subject to mandatory protections of the law of the country where you habitually reside. The courts of England and Wales have non-exclusive jurisdiction; if you are a consumer in the EU or elsewhere you may also bring proceedings in the courts of your home country, and nothing prevents you from using a remedy available under mandatory local law. No choice-of-law clause reduces a non-waivable consumer or privacy right. Consumers in Italy may refer disputes to an accredited ADR body; we will tell you whether we agree to participate when you raise a dispute.
17. App store terms
Use of an app downloaded from Apple or Google is also subject to that store’s usage rules and purchase terms. The store does not become the provider of NudgiFi’s service by distributing the app.
For an app obtained from Apple’s App Store, Apple’s Standard End User Licence Agreement (https://www.apple.com/legal/internet-services/itunes/dev/stdeula/) applies to the app licence. These Terms describe the additional NudgiFi service relationship and are to be read consistently with that licence and the store rules. Store payment, refund, licence, support and dispute rules apply to the extent relevant, alongside non-waivable consumer protections. Contact [email protected] for questions about NudgiFi.
18. Changes to these Terms
We may update these Terms for changes to the service, legal requirements or reasonable business needs. We publish the revised Terms with an updated date and version number, keep earlier versions available, and give at least 30 days’ advance notice of material changes where the law requires. Changes do not retroactively remove accrued rights. If a change requires your affirmative agreement, continued use alone will not substitute for it. If you do not agree to a change, stop using the affected service and exercise any applicable cancellation or refund right.
19. General provisions
If a provision is invalid or unenforceable, it applies only to the extent lawful and the remaining provisions continue. A delay in enforcing a right is not a waiver. You may not transfer your account or contractual rights in a way that compromises security or breaches these Terms. We may transfer this agreement as part of a genuine business transfer subject to applicable law, required notice and preservation of your mandatory rights.
These Terms, the Privacy Policy at https://nudgifi.com/privacy and any clearly accepted purchase terms form the agreement between us. A privacy notice does not by itself create consent to a use that requires separate consent. Feature-specific terms will be disclosed before the feature is used. Where we provide a translation, it is for convenience; the English version prevails except where local law requires information or contracting in another language, in which case that version applies to the extent required.
